Terms of Service

1. Agreement

These Terms of Service (the “Terms”) govern your access to and use of the LensPath application (the “Service”), operated by Noor Al Kawthar Marketing Management LLC, trading as NKM Studio (“LensPath”, “we”, “us”). By installing or using the Service, you (the merchant) agree to these Terms. If you do not agree, do not install or use the Service.

2. The service

LensPath is a Shopify application that adds a prescription-lens configurator, an in-store eye-test booking flow, and a multi-tenant retailer admin panel to your Shopify storefront. The Service is provided as software-as-a-service and may be used only in connection with a valid Shopify store.

3. Accounts & eligibility

To use the Service you must have an active Shopify account and the authority to install apps on the store in question. You are responsible for activity that occurs through your installation and for keeping your store and staff access secure.

4. Subscriptions & billing

The Service is offered on monthly subscription plans priced by the number of store locations you operate (for example, Starter, Pro, and Enterprise tiers as described on our pricing page). All billing is handled by Shopify through its app-billing system and appears on your Shopify invoice. We do not collect or store your payment-card details. Fees are billed in advance on a recurring monthly basis and, except where required by law, are non-refundable. We may change pricing on a prospective basis; continued use after a change takes effect constitutes acceptance of the new pricing.

5. Free trial

We may offer a free trial (currently 14 days). If you keep the Service after the trial ends, your subscription begins and billing starts through Shopify. You can avoid charges by uninstalling before the trial ends.

6. Acceptable use

You agree not to: (a) use the Service in violation of any law or of Shopify’s terms; (b) attempt to interfere with, disrupt, reverse-engineer, or gain unauthorised access to the Service or its infrastructure; (c) use the Service to transmit malware or to collect data without a lawful basis; (d) resell or sublicense the Service except as expressly permitted; or (e) misuse shopper data obtained through the Service, including booking details, for any purpose other than serving the shopper’s request.

7. Merchant & shopper data

You retain ownership of your store data and of the shopper data processed through the Service. As between you and us, you are the controller of shopper personal data and we act as your processor for that data. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. You are responsible for providing any notices and obtaining any consents required for the data you collect from shoppers through the Service.

8. Availability & changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, add, or remove features over time, and we may perform maintenance that temporarily affects availability.

9. Intellectual property

The Service, including its software, design, and the LensPath name and marks, is owned by NKM Studio and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. No other rights are granted.

10. No warranty

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that any defects will be corrected. The Service supports your sales and booking workflow; it does not provide medical, optometric, or professional advice, and you remain responsible for the eye-care services your business delivers.

11. Limitation of liability

To the maximum extent permitted by law, LensPath and NKM Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to the Service will not exceed the amount you paid us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless LensPath and NKM Studio from claims, losses, and expenses arising out of your use of the Service, your store’s products and services, or your breach of these Terms or of applicable law, including data-protection law.

13. Termination

You may stop using the Service at any time by uninstalling it from your Shopify store; this ends your subscription on a going-forward basis. We may suspend or terminate access if you breach these Terms, if required by law, or if continuing to provide the Service is no longer commercially reasonable. On termination, the rights granted to you end and shop-scoped data is handled as described in our Privacy Policy.

14. Governing law

These Terms are governed by the laws of Dubai, United Arab Emirates, without regard to conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have.

15. Changes to these terms

We may update these Terms from time to time. When we do, we’ll revise the “Last updated” date above. Material changes will take effect on a prospective basis, and your continued use of the Service after changes take effect constitutes acceptance.
